1. Who this is between
These terms are between Lorain Products LLC ("we", "us") and the organisation that creates a school on Together (the "Customer"). The person who creates the school confirms they may bind the Customer to these terms. They are separate from the Terms of Use and Privacy Policy the Customer publishes to its own members, which are between the Customer and its members.
2. The service
Together is software for running a parent organisation, booster club, association or small nonprofit: a public site, a member directory, events, volunteering, communications, payments and the related tools. We provide it as a subscription on the plan the Customer chooses, as described on the pricing page at the time of purchase.
We may change the service over time. We will not remove a feature a paid plan includes without notice of at least thirty days, except where required by law or a provider.
3. The Customer's data
Everything the Customer and its members put into the service — names, contact details, children's records, messages, photographs, payment records — belongs to the Customer. We process it only to provide the service, on the Customer's instructions, and as described in the Platform Privacy Policy.
Each school's data is isolated from every other school's. Our staff can see a school's data only during a support session opened for a stated reason, which the Customer can see in its own settings.
The Customer can export its data and can close its school from its settings. Closing removes the public site at once and deletes every record and file after fourteen days.
The Customer is responsible for having the consents its members' data requires, in particular for children's information it enters about families, and for publishing member-facing terms and a privacy policy. The service provides templates the Customer may adopt.
4. Fees and club money
Subscription fees are billed in advance, monthly or annually, through Stripe, and are non-refundable except where the law requires. Trials end on the date shown in the Customer's billing page; a school whose trial ends without a plan can still read its data and has fourteen days before sending stops.
Money the Customer collects from its members — dues, sales, donations — is paid into the Customer's own Stripe account. We take the platform fee stated for the Customer's plan from each payment and nothing else. We are not the merchant of record for the Customer's sales, and disputes and refunds are the Customer's to handle.
5. Acceptable use
- Use the service only for the Customer's own community, and only lawfully.
- Do not send messages to people who have not agreed to receive them, and honour every opt-out.
- Do not upload content you have no right to, or content that is unlawful, harassing or harmful to a child.
- Do not attempt to access another school's data, probe the service's security, or overload it.
We may suspend a school that breaches these rules, with notice where we safely can.
6. Availability and support
We aim to keep the service available at all times but do not promise uninterrupted availability. Support is provided as described for the Customer's plan. Backups are taken continuously and we can restore a school's data on request.
7. Liability
To the fullest extent the law allows, Lorain Products LLC's total liability under these terms in any twelve-month period is limited to the fees the Customer paid in that period, and we are not liable for indirect, consequential or lost-profit damages. Nothing limits liability that cannot be limited by law.
The Customer indemnifies us against claims arising from content it or its members put into the service, or from its breach of section 5.
8. Term and ending
These terms apply for as long as the Customer has a school on the service. The Customer may end them by closing the school. We may end them with thirty days' notice, or at once for a breach of section 5 or non-payment after the grace period shown in the billing page.
9. Governing law
These terms are governed by the laws of the State of Massachusetts, without regard to conflict-of-law rules. REVIEW: confirm the state of incorporation of Lorain Products LLC.
Questions about these terms: reply to any email we have sent you, or use the contact address on the About page.
